TERMS OF USE AND MEMBERSHIP CONDITIONS

Welcome to Adgager.com. By using this Site, registering for membership with Adgager, participating in the Adgager GAG program, or taking part in any research provided or hosted by Adgager, you agree to these Terms of Use and Membership Conditions. If you do not accept these terms, do not use this Site.

Adgager reserves the right to change, add, or remove these Terms at any time at its sole discretion, including our Privacy Policy. It is your responsibility to periodically check these Terms for possible changes. Continuing to use this Site following the posting of any changes signifies your acceptance of those changes. Provided you comply with these Terms, Adgager grants you a personal, non-exclusive, non-transferable, and limited right to enter and use this Site.

Eligibility

Membership in any Adgager panel is open and free to individuals (not companies or other commercial entities) who are at least fourteen (14) years old or meet the minimum age requirement in their geographic location. Membership in specific panels may be subject to additional restrictions based on your age or geographic location. If you are under eighteen (18) and win any award or monetary prize from the GAG or any other Adgager reward program, such awards will be given to your legal guardian. You may only have one account.

Registration and Passwords

While you may access this Site without registering for any Adgager panel, you must complete the online registration form provided to create an account in your name and have GAGs credited to your account. To open a member account, you must provide Adgager with complete and valid contact information, including your full legal name, home address, valid email address, and all other requested information. Your account must have a valid and unique email address and password. We ask you to verify your email and phone number to confirm your unique user identity.

You agree to provide only accurate, current, and complete registration information and maintain and update this information as necessary to keep it accurate. If you do not provide or maintain accurate and complete personal information, Adgager may cancel or suspend your membership and you may lose your GAGs.

If Adgager determines that you have not provided qualified information for idea owners or have shown inconsistency in participating in surveys, your membership may be deactivated, and you will be notified. If you fail to provide feedback for five consecutive targeted surveys or provide unqualified information, your Gager status may be revoked, and you will be informed.

You may use only one (1) password to open and access your account and may not use another person’s password or allow anyone else to use your password for any reason. You are responsible for the security of your username and password and all activities conducted under your membership account, whether authorized or unauthorized. Adgager will not be liable for any losses resulting from the unauthorized use of your password unless directly caused by Adgager’s gross negligence or willful misconduct. You agree to immediately notify Adgager of any unauthorized use or breach of your account.

If you forget your password, you can request Adgager to send it to you via email to regain access to your account. This procedure assumes that the request is made from your username and the email address you provided during registration (or an updated email address if changed).

By becoming a member of Adgager’s panels, you become a candidate for gager status, which you may achieve based on the results of surveys sent to you. You agree to receive invitations to participate in Adgager and third-party research via email. Adgager does not guarantee that you will receive a minimum volume of invitations or any invitations at all. Participation in any survey and the disclosure of any information that may identify you are entirely voluntary.

Relationship

You are responsible for providing any computer hardware and communication services required to connect to and access this Site. Neither your membership in an Adgager panel nor your completion of any research for Adgager and its clients creates any agency, partnership, or employment relationship. Completing research surveys is strictly as an independent contractor. You agree that the GAGs or other rewards received for completing research surveys are the only compensation you will receive.

Member Code of Conduct:

Adgager is an online community where you can influence ideas and share in marketing concepts. We ask that you follow these rules when using and submitting content to the Adgager Site and our community:

– Be kind and respect others’ opinions, and support a safe and comfortable environment for all members.

– Avoid the following types of content:

  – Material that advocates illegal activities or political, religious, or ideological views.

  – Personal attacks or offensive, obscene, illegal, harmful, derogatory, threatening, abusive, defamatory, false, misleading, or privacy-intrusive content (including “jokes”).

  – Advertising and solicitations – Do not use community areas to buy, request, or promote products, services, or money to others. This includes any advertisements, referrals, promotional material, spam, chain letters, pyramid schemes, or any other solicitation.

  – Any content that infringes on another’s patent, copyright, trademark, trade secret, or other intellectual property rights.

  – Any statement that explicitly or implicitly suggests that Adgager or our clients endorse your actions.

– Do not provide false answers or complete surveys in bad faith, such as completing surveys too quickly or answering all questions in the same way. Adgager reserves the right to withhold GAGs and deactivate your membership if it determines, in its reasonable judgment, that your survey responses are not honest or thoughtful.

– Use the Site only for your personal, non-commercial use.

– Do not use the Site in any way that may violate any applicable local, federal, or international law, regulation, or other governmental requirement.

– Do not sell, trade, or otherwise transfer your Adgager GAGs to others or attempt to monetize your access to Adgager GAGs.

– Do not impersonate any individual or entity, including any Adgager employee, representative, or client, or misrepresent your affiliation with any individual or entity.

– Do not republish or reference any research or Site content in any media without our prior written consent.

– Do not collect or store any personal information about other members.

– Do not attempt to access any service or Site area you are not authorized to access.

– Do not use any robot, spider, scraper, or other automated tools or interfaces not provided by us to access the Site or extract data.

– Do not send any virus, “spyware,” “adware,” or other harmful codes to us or this Site (or anything or anyone else) or engage in any activity that could overload or disrupt the normal operation of this Site.

– Do not republish statements from Adgager’s help desk on the Site.

– Do not communicate with Adgager’s help desk in an inappropriate, rude, harmful, derogatory, threatening, abusive, defamatory, false, or misleading manner.

– Do not engage in any other activity that Adgager reasonably considers inappropriate or abusive.

Failure to comply with this Code of Conduct may result in the termination of your membership and the loss of GAGs.

Confidentiality of Surveys

Adgager’s clients may disclose confidential and/or proprietary information and materials to you as part of the surveys, and such information and materials will remain the exclusive property of the owner. This confidential information may include, but is not limited to, new product ideas or concepts, packaging concepts, advertising and film or television concepts or trailers, and related text, visual images, and sounds. As a member, you agree to keep confidential all content and materials disclosed to you as part of the surveys and not to disclose such information to any third party or use the confidential information for any purpose other than completing the survey. If you breach this obligation, in addition to losing GAGs and having your account closed, you may be required to pay monetary damages to Adgager and/or our clients for any resulting harm.

Member Content and License

By accepting these terms, you grant Adgager a non-exclusive, perpetual, unlimited, worldwide, and royalty-free right to use any content you submit for any purpose, including editing, copying, transmitting, publishing, displaying, modifying, distributing, creating derivative works from, developing, and transferring such content to third parties. You are solely responsible for all content you upload or submit to this Site, including obtaining the necessary permissions and licenses for such content.
